General Terms and Conditions of Use

These General Terms and Conditions of Use (the "Terms") govern access to and use of the websites www.artistichub.online, www.artistichubmagazine.com, www.ah-magazine.com and www.ahmagazine.ch, together with any corresponding mobile applications and other digital services made available under the AH Magazine brand (collectively, the "Digital Offerings").

AH Magazine, formerly known as Artistic Hub Magazine, is a publication and brand of BISTRY GmbH, Gewerbestrasse 5, 6330 Cham, Switzerland, UID CHE-320.982.426 ("BISTRY", "we", "us" or "our"). BISTRY operates and publishes AH Magazine and is the provider of the Digital Offerings.

These Terms set out the conditions governing use of the Digital Offerings. Where registration, a purchase, subscription, submission, competition, award, exhibition or another service requires express acceptance of contractual terms, you will be asked to accept the applicable terms as part of that process.

Nothing in these Terms excludes or restricts rights that cannot lawfully be excluded or restricted.

1. Scope and Additional Terms

Certain parts of the Digital Offerings may be subject to additional or service-specific terms, including terms relating to purchases, subscriptions, memberships, competitions, awards, exhibitions, editorial submissions or other services.

Where specific terms apply, they will be made available in connection with the relevant service. In the event of a conflict between these Terms and applicable service-specific terms, the service-specific terms take precedence in relation to that service.

Purchases made through the AH Magazine online shop may also be subject to the applicable product information, checkout conditions, Returns & Refunds Policy and statutory withdrawal or cancellation rights.

Participation in the AH Magazine Artist Award is subject to the separate Artist Award Terms and Conditions.

2. Legal Capacity, Registration and Accounts

Publicly available editorial content may be accessed without registration unless otherwise indicated.

Certain features or services may require registration, approval or the creation of an account with BISTRY.

Where use of a feature or service involves entering into a contract, you must have the legal capacity required under the law applicable to you. If you do not have full legal capacity, the consent or involvement of a parent, guardian or other legal representative may be required.

Any specific age restriction applying to a competition, award, membership or other service will be stated in the applicable service-specific terms.

You must provide accurate information where registration is required and are responsible for keeping your account credentials confidential.

BISTRY may restrict, suspend or terminate access to an account where reasonably necessary because of a breach of these Terms, unlawful activity, misuse of the Digital Offerings, security concerns or another legitimate reason. Rights arising from paid services remain subject to the applicable contract and mandatory law.

3. Data Protection

BISTRY processes personal data in accordance with its Privacy Policy, the Swiss Federal Act on Data Protection (FADP) and, where applicable, Regulation (EU) 2016/679 (General Data Protection Regulation, GDPR), as well as any other applicable data protection law.

Additional information relating to the processing of personal data for a particular service may be provided when that service is used.

4. Your Responsibility for Content

You are responsible for content that you submit, upload or otherwise provide through the Digital Offerings.

You must ensure that you hold all rights, permissions and consents necessary to submit that content and for BISTRY to use it as described in these Terms or in any applicable service-specific terms.

You must not submit content that:

  • infringes copyright, trade mark rights, privacy, personality rights or other rights of a third party;

  • is defamatory, unlawfully discriminatory, threatening, harassing or otherwise unlawful;

  • unlawfully promotes or glorifies violence;

  • contains unlawful pornographic or obscene material;

  • contains malicious code, malware or other material intended to interfere with the security or operation of the Digital Offerings;

  • constitutes spam or misleading advertising; or

  • is clearly unrelated to the feature, submission or discussion for which it is provided.

BISTRY may refuse, moderate, shorten or remove submitted content, or restrict access to it, where reasonably necessary for editorial, legal, safety, technical or relevance-related reasons.

If you intentionally submit content for public display or publication, you understand that it may become publicly accessible and may be indexed, cached, referenced or otherwise processed by independent search engines, online platforms and similar third-party services.

BISTRY will comply with obligations imposed by applicable law but cannot control the timing or actions of independent third-party services.

5. Submission of Artwork and Other Editorial Content

Copyright and other rights in original artwork and content submitted to BISTRY remain with the relevant rights holder unless a separate written agreement expressly provides otherwise.

By intentionally submitting artwork, photographs, text or other material for publication, an exhibition, editorial feature or another AH Magazine service, you grant BISTRY a non-exclusive, worldwide, royalty-free licence to use the submitted material to the extent reasonably necessary to operate, produce, publish, distribute, document and promote the relevant service, project or editorial feature.

This licence may include reproduction and publication in AH Magazine print and digital editions, on AH Magazine websites, newsletters and social media channels, and in promotional material directly connected with the relevant publication, project or service.

For written submissions, BISTRY may proofread, edit, shorten, format and, where appropriate, translate the material for editorial and production purposes.

For artwork and photographs, BISTRY may make reasonable technical adjustments necessary for publication or presentation, including resizing, file conversion, compression, colour-profile conversion and proportionate cropping. BISTRY will not make a material alteration that changes the substance or artistic character of an artwork unless the rights holder has consented or applicable service-specific terms expressly provide otherwise.

BISTRY may make submitted material available to printers, distributors, hosting providers, digital publishing platforms, designers, translators, production providers, social media platforms and project partners only to the extent reasonably necessary for the permitted purposes.

The licence continues for as long as reasonably necessary for the relevant publication, project, exhibition, promotion or legitimate editorial and archival documentation.

Where submitted material has already been incorporated into a published print or digital edition, the licence continues in relation to that edition, its distribution and reasonable archival and promotional uses connected with it.

Submission of content does not transfer copyright to BISTRY unless the parties expressly agree otherwise in writing.

Unless otherwise agreed, the licence granted under this section does not create an entitlement to additional compensation for uses that fall within the scope of the relevant submission, publication or participation arrangement.

You confirm that you have obtained all permissions, releases and consents required from co-authors, depicted persons, rights holders or other contributors for the uses contemplated by these Terms or the applicable service-specific terms.

6. Intellectual Property Rights

The Digital Offerings and the protected content made available through them, including trade marks, names, logos, photographs, images, graphics, designs, editorial texts, audiovisual material, layouts and software, are owned by BISTRY, its licensors or other authorised rights holders.

Except where permitted by applicable law or expressly authorised by the relevant rights holder, protected material may not be reproduced, republished, distributed, commercially exploited, materially modified or made available to the public.

Ordinary hyperlinks to publicly accessible pages of the Digital Offerings are permitted, provided that they do not falsely imply sponsorship, endorsement, partnership or affiliation with BISTRY or AH Magazine.

Framing, embedding or other technical uses that conceal the original source, circumvent access restrictions or misleadingly present AH Magazine content as belonging to another person or organisation are not permitted unless authorised by applicable law or by BISTRY.

7. Automated Access, Search Engines, Text and Data Mining, and Artificial Intelligence

BISTRY permits automated access to publicly available content for conventional search-engine indexing and for AI-assisted search, discovery and citation, provided that such access complies with BISTRY's applicable machine-readable instructions and technical access rules.

This permission includes the generation of reasonable search snippets, previews, references and links that identify or direct users to the original AH Magazine content. It does not authorise the reproduction or presentation of substantial parts of protected AH Magazine content in a manner that substitutes for the original publication.

Except for the search, discovery and citation uses expressly permitted above, BISTRY reserves all applicable rights in relation to automated extraction and text and data mining.

In particular, to the fullest extent permitted by applicable law, BISTRY expressly reserves its rights pursuant to Article 4(3) of Directive (EU) 2019/790 and corresponding national law in relation to text and data mining of protected content made publicly available online.

The public availability of AH Magazine content does not constitute permission to use that content for:

  • training, fine-tuning or otherwise developing machine-learning or generative artificial-intelligence models;

  • creating or enriching training datasets;

  • systematic commercial text and data mining;

  • systematic extraction or reproduction of protected editorial content or databases; or

  • creating products or services that reproduce or substitute for substantial parts of AH Magazine content.

Any machine-readable rights reservations, crawler instructions, metadata, access controls or other technical signals published by BISTRY must be respected.

Separate written permission may be granted by BISTRY for uses not authorised under this section.

Nothing in this section restricts uses that applicable law permits notwithstanding such a reservation, including uses permitted by applicable statutory exceptions for qualifying scientific research.

8. Third-Party Websites and Services

The Digital Offerings may contain links to or integrate services operated by third parties.

BISTRY does not control independent third-party websites or services and is not responsible for their content, availability, security or privacy practices except to the extent that responsibility cannot lawfully be excluded.

The terms and privacy policies of the relevant third party may apply when you use those services.

9. Availability and Editorial Information

BISTRY takes reasonable care in preparing and maintaining the Digital Offerings. However, editorial information may change over time, and BISTRY does not guarantee that all information will at all times be complete, error-free or current.

BISTRY does not guarantee uninterrupted or error-free availability of the Digital Offerings.

Temporary interruptions may occur because of maintenance, security measures, technical failures, hosting or telecommunications issues, force majeure or other circumstances outside BISTRY's reasonable control.

BISTRY may develop, change, suspend or discontinue individual free features of the Digital Offerings where reasonably necessary.

Any rights relating to paid subscriptions, purchases or other paid services, including mandatory rights relating to performance, remedies, cancellation, withdrawal or reimbursement, remain unaffected and are governed by the relevant contractual terms and applicable law.

10. Liability

Nothing in these Terms excludes or limits liability for wilful misconduct or gross negligence, or any other liability that may not lawfully be excluded or limited.

Subject to mandatory law, BISTRY is not liable for losses caused exclusively by circumstances outside its reasonable control or by the independent acts or omissions of third-party services over which BISTRY has no control.

Any further limitation or exclusion of liability applies only to the extent permitted by the law applicable to the particular relationship and does not restrict mandatory rights available to consumers.

11. Indemnity for Third-Party Claims

To the extent permitted by applicable law, you are responsible for third-party claims arising directly from content you submit or conduct attributable to you where the claim results from:

  • your infringement of a third party's intellectual property, privacy, personality or other rights;

  • your failure to obtain a permission, release or consent that you were required to obtain;

  • materially false or misleading information supplied by you; or

  • another material breach of these Terms attributable to you.

Any obligation under this section applies only to the extent that the relevant loss, liability or reasonable cost is legally attributable to your breach or conduct.

Nothing in this section limits any protection available to consumers under mandatory law.

12. Changes to These Terms

BISTRY may update these Terms prospectively where reasonably necessary because of changes in law, regulation, technology, security requirements, the Digital Offerings or BISTRY's services.

The current version will be published through the Digital Offerings together with its effective or last-updated date.

Changes do not affect rights or claims that arose before the relevant change.

Where a material change affects an existing registered or paid service, BISTRY will provide reasonable notice where required by applicable law or the relevant contractual relationship.

Where applicable law requires your express consent to a contractual change, that change will not become binding on you without the required consent.

If you do not agree with revised Terms, you may stop using the affected part of the Digital Offerings or exercise any termination or cancellation rights available under the applicable contract or law.

13. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will apply only to the extent legally permissible, and the remaining provisions will remain in effect.

14. Governing Law and Jurisdiction

These Terms are governed by the substantive law of Switzerland, excluding its conflict-of-laws rules, without prejudice to mandatory consumer-protection provisions that apply irrespective of this choice of law.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded to the extent that it would otherwise apply.

If you use the Digital Offerings in the course of a trade, business or profession, the courts at the registered seat of BISTRY GmbH in the Canton of Zug, Switzerland, have exclusive jurisdiction over disputes arising out of or in connection with these Terms, unless mandatory law provides otherwise.

If you are a consumer, jurisdiction is determined by the mandatory rules applicable to you. Nothing in these Terms restricts your right to bring proceedings before a court available to you under applicable consumer-protection law or an applicable international convention.

Nothing in these Terms restricts any right to lodge a complaint with a competent supervisory or regulatory authority where such a right exists under applicable law.
